Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the AVD Clinical website and all associated services (collectively, the "Service"), operated by AVD Clinical ("we," "us," or "our"). By creating an account, purchasing a product, or accessing any part of the Service, you agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

AVD Clinical operates the following services at avdclinical.com:

• SOP & Template Marketplace — paid downloadable clinical research documents (SOPs, checklists, templates, and bundles) authored by AVD Clinical.
• Budget Calculator — a clinical trial cost estimation tool. First calculation is free; additional calculations require a paid plan.
• Medicine Reminder Tool — a free personal medication tracking and browser notification tool.
• Resource Library — a curated index of publicly available clinical research references and regulatory guidance, with AVD commentary. The Library links to third-party materials and does not host or redistribute them.
• Subscriptions and Team Plans — recurring access to unlimited calculator use, all SOPs, all-access bundles, or team-wide licenses.

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract. By using the Service, you represent that you meet these requirements. The Service is intended for clinical research professionals, healthcare administrators, and adult individuals managing their own health information. It is not directed to children under 18.

4. Account Registration

Account registration is required to access most paid features, save calculator projects, and use the Medicine Reminder tool. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your email address, phone number, and OTP codes confidential. Do not share OTP codes with anyone.
• Notify us immediately at [email protected] if you suspect unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

One account per person. Creating duplicate accounts to circumvent free trial limits is prohibited. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Paid Products — SOPs, Templates & Bundles

5.1 What You Are Purchasing

When you purchase a single SOP, template, or bundle, you receive a non-exclusive, non-transferable, single-user license to download and use the document(s) for your own professional work. Purchases are fulfilled by immediate digital download after payment confirmation.

5.2 Single-User License

Your license permits you to:

• Download, view, and print the document for your personal or organizational use.
• Modify and adapt the document for use within your own organization's clinical operations.
• Use the document as a starting framework — you are responsible for customizing it to your organization's SOPs, study protocols, and applicable regulations before operational use.

Your license does not permit you to:

• Resell, sublicense, redistribute, or share the document with individuals outside your organization.
• Publish the document publicly or post it on any external platform.
• Remove AVD Clinical attribution or claim authorship of the original document.
• Use the document as a regulatory submission or compliance certification without appropriate internal validation and review.

5.3 Team License

The Team Site plan grants a multi-user license covering up to the number of users specified in your plan. Team members may access, download, and use documents under the same permitted use terms as the single-user license. The team administrator is responsible for ensuring team members comply with these Terms.

5.5 Delivery

Purchased documents are delivered as downloadable .docx (Word) files immediately after payment confirmation. Download links are accessible from within your account and sent to your registered email. If you experience a delivery issue, contact [email protected] within 7 days of purchase.

6. Subscriptions

6.1 Available Subscription Plans

AVD Clinical offers recurring subscription plans including Calculator Unlimited (monthly/annual), SOP Unlimited, All Access, Team Site, and Enterprise. Current pricing is shown on the Pricing page.

6.2 Billing & Auto-Renewal

Subscriptions are billed in advance on a monthly or annual cycle. Payment is processed by Stripe. By subscribing, you authorize us to charge your payment method automatically at the start of each billing period. Stripe's Terms of Service apply to all payment processing: stripe.com/legal.

You will receive a receipt from Stripe for each billing event. Pricing may change with at least 30 days' notice before your next billing cycle.

6.3 Cancellation

You may cancel your subscription at any time. To cancel:

• Email [email protected] with your account email and the plan to cancel.
• We will cancel the subscription within 1 business day.

Cancellation takes effect at the end of your current billing period. You retain access to subscription features until the period ends. We do not issue prorated refunds for partial billing periods on monthly plans. Annual plans cancelled within 14 days of renewal are eligible for a prorated refund of unused months (see Section 7).

6.4 Enterprise & Pilot Access

Enterprise and pilot plans are negotiated separately. Access, billing terms, user limits, and any data processing agreements (including BAA availability) are governed by the separate Enterprise Agreement signed between AVD Clinical and your organization. 7. Refund Policy

7.1 Digital Product Purchases (One-Time)

Because SOPs, templates, and calculator reports are delivered as digital files that are immediately accessible upon purchase, all one-time purchases are final and non-refundable once the download is accessed. If you have a technical delivery problem (file not received, file corrupted), contact us within 7 days and we will re-deliver at no charge.

Exceptions: If you were charged twice for the same product due to a system error, we will issue a full refund for the duplicate charge. Contact us within 30 days.

7.2 Monthly Subscriptions

Monthly subscription fees are non-refundable once a billing period has started. You may cancel at any time to stop future charges.

7.3 Annual Subscriptions

If you cancel an annual subscription within 14 days of the annual renewal date and have not downloaded any documents during that renewal period, you are eligible for a prorated refund of unused full months remaining. Contact us within 14 days of renewal to request this refund.

7.4 Refund Process

Approved refunds are processed back to the original payment method via Stripe within 5–10 business days. To request a refund, email [email protected] with your order details.

8. Medicine Reminder Tool

The Medicine Reminder tool is a free personal convenience tool for tracking your own medications and setting reminders. By using it, you agree that:

• The tool is for personal use only — enter only your own medication information, not another person's health data.
• The tool is not a medical device, not monitored by healthcare professionals, and does not provide medical advice.
• Reminders are delivered via browser notifications on a best-effort basis. We do not guarantee delivery of all notifications. Do not rely solely on this tool for critical medication management.
• You must not enter Protected Health Information (PHI) of patients, research subjects, or any third party into this tool.

10. No Medical, Legal, or Regulatory Advice

• Medicine Reminders: Not a substitute for advice from your prescribing physician or pharmacist. Always follow your healthcare provider's instructions.
• Budget Calculator: Estimates are for planning and reference purposes only. Actual clinical trial costs vary significantly by study, geography, and site. Do not use calculator outputs as final budgets without independent validation.
• SOPs & Templates: Documents are starting frameworks and do not constitute regulatory submissions, compliance audits, or validated procedures. They do not guarantee regulatory acceptance by any authority.
• Resource Library: Linked regulatory guidance documents are provided for reference only. Guidance from FDA, ICH, EMA, and other bodies changes frequently. Always consult the original source and qualified professionals.

Always consult qualified healthcare professionals, regulatory consultants, legal counsel, and your organization's compliance team before making clinical, regulatory, or operational decisions.

11. Permitted Use

You may use the Service for lawful professional and personal purposes consistent with these Terms, including browsing the Library, downloading purchased documents, running budget calculations, using the Medicine Reminder tool for your own medications, and managing your account.

12. Prohibited Use

You may not:

• Upload, enter, or transmit PHI without an executed BAA (see Section 9).
• Resell, sublicense, or redistribute purchased documents to third parties outside your organization.
• Create duplicate accounts to bypass free trial or free calculation limits.
• Share, post, or redistribute AVD Clinical-authored SOPs or templates publicly.
• Use the Service in violation of any applicable law or regulation.
• Attempt to reverse engineer, scrape, or systematically extract data from the Service without written permission.
• Misrepresent your identity, affiliation, or professional credentials.
• Transmit malware, spam, or disruptive code.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use calculator outputs, SOP text, or any Service content to misrepresent regulatory compliance to sponsors, CROs, IRBs, or regulatory authorities.

13. Intellectual Property

13.1 AVD Clinical Authored Content

All SOPs, templates, checklists, calculator logic, website design, commentary, and original content are the intellectual property of AVD Clinical and are protected by copyright. Purchase of a document grants you a limited license as described in Section 5 — it does not transfer ownership or copyright.

13.2 Third-Party Resources

Resources linked from the Library (FDA guidance, ICH guidelines, TransCelerate templates, etc.) are the intellectual property of their respective owners. AVD Clinical makes no claim to these materials. Accessing them is subject to the terms of the originating organization.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that:

• SOP or template content will meet your regulatory authority's acceptance requirements.
• Calculator estimates will match actual trial costs.
• Medicine reminder notifications will be delivered in all circumstances.
• Third-party resources linked from the Library are current or complete.
• The Service will be uninterrupted or error-free.

15. Limitation of Liability

To the maximum extent permitted by applicable law, AVD Clinical and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, regulatory non-compliance findings, or clinical harm — arising from your use of the Service or any content obtained through it, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the greater of: (a) the total amount you paid to AVD Clinical in the 12 months preceding the claim, or (b) USD $500.

16. Indemnification

You agree to indemnify, defend, and hold harmless AVD Clinical and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your use of the Service in violation of these Terms; your upload of PHI without an executed BAA; your use of purchased documents in regulatory or clinical operations without appropriate internal review; or your violation of any third party's rights.

17. Account Termination

17.1 Termination by You

You may close your account at any time by emailing [email protected]. Upon account closure: active subscriptions will be cancelled at the end of the current billing period; downloaded documents remain yours under your existing license; medicine reminder data and calculator projects will be deleted within 30 days.

17.2 Termination by AVD Clinical

We may suspend or terminate your account immediately, with or without notice, for: violation of these Terms (including prohibited PHI upload); fraudulent activity; chargebacks or payment disputes not resolved in good faith; creating duplicate accounts; or any activity that threatens the security or integrity of the Service.

If we terminate your account for reasons other than a Terms violation, we will refund the unused portion of any prepaid annual subscription.

Sections 5.2, 9, 10, 13, 14, 15, 16, and 19 survive termination.

18. Third-Party Links and Services

The Service contains links to third-party websites and resources. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party site. Payment processing is handled by Stripe — Stripe's terms and privacy policy govern the payment relationship. We do not endorse third-party content.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

20. Changes to Terms

We may revise these Terms from time to time. We will post the updated Terms with a new effective date and notify registered users by email of material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

21. Miscellaneous

• Entire agreement: These Terms, the Privacy Policy, and (where applicable) an Enterprise Agreement constitute the entire agreement between you and AVD Clinical regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of substantially all our assets.
• Language: These Terms are written in English. Any translations are for convenience only; the English version controls.
